Welcome to Unity Engagement Group. These Terms of Service ("Terms") govern your use of our website and engagement of our event production and community activation services. By accessing our website or using our services, you agree to be bound by these Terms.
1. Services Overview
Unity Engagement Group provides event production, community activation, and related services including but not limited to:
- Large-scale event production and management
- Community activation design and execution
- Strategic partnership development
- Logistics and operations coordination
- Vendor management and procurement
- On-site event execution and staffing coordination
2. Service Agreements
All event production services are subject to a separate written agreement ("Service Agreement") that will outline specific terms including:
- Scope of services and deliverables
- Project timeline and milestones
- Pricing, payment schedule, and terms
- Cancellation and refund policies
- Responsibilities of each party
In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.
3. Client Responsibilities
When engaging our services, clients agree to:
- Provide accurate and complete information necessary for event planning
- Make timely decisions and approvals as outlined in project timelines
- Pay all fees according to the agreed payment schedule
- Obtain necessary permits, licenses, and insurance for their events
- Comply with venue rules and regulations
- Communicate any changes or concerns promptly
4. Pricing and Payment
All pricing will be detailed in individual Service Agreements. General payment terms include:
- A non-refundable deposit is required to secure services
- Progress payments may be required at specified milestones
- Final payment is due prior to event execution unless otherwise agreed
- Late payments may incur additional fees
- All prices are in U.S. dollars unless otherwise specified
5. Cancellation and Refunds
Cancellation policies vary based on the scope and timeline of each project. General guidelines include:
- Deposits are non-refundable but may be applied to future events
- Cancellations made more than 90 days before an event may receive partial refunds
- Cancellations made within 90 days of an event are generally non-refundable
- Specific cancellation terms will be outlined in your Service Agreement
6. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, pandemic, terrorism, civil unrest, or venue closure. In such cases, we will work with clients to reschedule events or provide credits for future services.
7. Intellectual Property
All creative concepts, designs, proposals, and materials developed by Unity Engagement Group remain our intellectual property until full payment is received. Upon full payment, clients receive a license to use event-specific materials for their intended purpose. We retain the right to use event photographs and descriptions in our portfolio and marketing materials.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the total fees paid for the specific services in question
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for actions of third-party vendors, though we exercise due diligence in vendor selection
- We maintain appropriate professional liability insurance
9. Indemnification
Clients agree to indemnify and hold harmless Unity Engagement Group from any claims, damages, or expenses arising from:
- Client's breach of these Terms or any Service Agreement
- Client's violation of any law or third-party rights
- Actions of client's guests, attendees, or invitees
- Client-provided content or materials
10. Website Use
When using our website, you agree to:
- Use the website only for lawful purposes
- Not attempt to gain unauthorized access to any part of the website
- Not reproduce, distribute, or create derivative works from website content
- Provide accurate information when submitting forms or inquiries
11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes event details, pricing, guest lists, and business strategies.
12. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through:
- Good faith negotiation between the parties
- Mediation in San Francisco, California if negotiation fails
- Binding arbitration under California law as a last resort
13. Governing Law
These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any legal proceedings shall take place in San Francisco County, California.
14. Modifications
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
